Terms and conditions for using the Open Alpha platform
By accessing or using Open Alpha ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. Please also review our Privacy Policy.
Publisher's Exclusion
Open Alpha HQ, LLC publishes financial data signals as a bona fide publication of general and regular circulation, excluded from the definition of "investment adviser" under Section 202(a)(11)(D) of the Investment Advisers Act of 1940 (Lowe v. SEC, 472 U.S. 181, 1985). All signals are algorithmically generated, impersonal, and delivered identically to all subscribers at the same tier. Open Alpha does not provide personalized investment advice, does not consider individual financial situations, and does not offer portfolio management or advisory services. Signals are published on continuous automated monitoring cycles, not timed to benefit any individual's trading positions.
1. Service Description
Open Alpha HQ, LLC ("Open Alpha," "we," "us," or "our") operates an AI-powered financial signal intelligence platform. Our Service aggregates publicly available data from SEC EDGAR filings, congressional financial disclosures, earnings reports, options flow, dark pool activity, and other public sources. We use artificial intelligence to analyze this data and generate trading signals, convergence scores, and market intelligence for informational and educational purposes only.
2. No Investment Advice
Open Alpha is NOT a registered investment adviser, broker-dealer, or financial planner with the SEC, FINRA, or any state or federal securities regulatory authority. Nothing provided through our website, dashboard, Discord server, API, email communications, or any other channel constitutes investment advice, financial advice, trading advice, or any other form of professional advice. All signals, scores, analyses, and content are for informational and educational purposes only. You should consult a qualified financial advisor before making any investment decisions. Any trading or investment decisions you make are entirely your own responsibility.
3. Subscription Terms
Open Alpha offers tiered subscription plans (Free, Pro, and Alpha) with varying levels of access to signals, data, and features. Paid subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscription fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days advance notice to existing subscribers. Free tier access may be limited or modified at any time.
4. Cancellation & Refunds
You may cancel your subscription at any time through your account settings or by contacting us at openalphahq@gmail.com. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until your billing period ends. We do not provide prorated refunds for partial billing periods. If you believe you were charged in error, contact us within 30 days of the charge.
5. Risk Warning & Limitation of Liability
Trading stocks, options, and other securities involves substantial risk of loss and is not suitable for all investors. Past performance, including win rates and historical returns displayed on the platform, does not guarantee future results. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. IN NO EVENT SHALL OPEN ALPHA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING ANY TRADING LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
6. Data Accuracy
While we strive for accuracy, Open Alpha makes no warranty regarding the accuracy, completeness, or timeliness of data, AI-generated analyses, or trading signals. Data is sourced from third-party providers and public filings which may contain errors, delays, or omissions. AI-generated content may be inaccurate or incomplete. Congressional trade disclosures may be reported up to 45 days after the transaction. 13F filings are reported quarterly with up to 45 days delay. You should independently verify all information before making any decisions.
7. Intellectual Property
All content, software, algorithms, scoring methodologies, AI models, signal generation techniques, and other intellectual property on the platform are owned by Open Alpha HQ, LLC. You may not copy, redistribute, sell, or create derivative works from our content, signals, or data without express written permission. Your subscription grants you a limited, non-transferable, non-exclusive license to access and use the Service for personal, non-commercial purposes.
8. User Conduct
You agree not to: (a) share, redistribute, or resell signals or data from the Service; (b) use automated tools to scrape or bulk-download data; (c) attempt to reverse-engineer our algorithms or scoring systems; (d) impersonate Open Alpha or misrepresent your affiliation; (e) use the Service for market manipulation or any illegal purpose; (f) share your account credentials with others. Violation of these terms may result in immediate account termination without refund.
9. Third-Party Market Data
Market data provided through the Service is sourced from licensed third-party data providers, including stock price, intraday, and fundamentals data. Market Data Sourced by Tiingo.com. By using the Service, you agree that you will not: (a) redistribute, resell, sublicense, or make available to any third party any market data obtained through the Service; (b) export, download, or extract market data in bulk form from the Service for any purpose; (c) use any market data obtained through the Service for purposes other than your own personal research and internal business use; (d) use any market data obtained through the Service to build a competitive product or service, or for benchmarking or competitive analysis of our data providers; (e) remove, obscure, or alter any proprietary notices, attribution statements, or restrictive legends associated with market data displayed through the Service. Limited export of data pertaining to one or a few stock tickers for personal research purposes is permitted. Any data exported from the Service may only be used for personal research purposes and may not be redistributed or used commercially.
10. Positions Disclosure
Open Alpha, its founder, employees, and affiliates may hold positions in securities discussed on the platform. Such positions may be acquired before, during, or after signal publication. This creates a potential conflict of interest. We are under no obligation to disclose when we buy or sell positions in mentioned securities.
11. Governing Law & Disputes
These Terms shall be governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration as described in Section 12, or in small claims court if your claim qualifies. You agree to submit to the personal jurisdiction of courts in Cowlitz County, Washington for any proceedings ancillary to arbitration (e.g., compelling arbitration, enforcing an award).
12. Mandatory Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. All disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall take place in Cowlitz County, Washington, or virtually at the election of either party. Each party shall bear its own costs and attorney fees, except that the prevailing party may recover reasonable attorney fees at the arbitrator's discretion. The arbitrator's award shall be final, binding, and enforceable in any court of competent jurisdiction. Notwithstanding the foregoing, either party may bring claims in small claims court for disputes under $10,000 if the claim falls within the court's jurisdiction. YOU MAY OPT OUT OF THIS ARBITRATION PROVISION by sending written notice to openalphahq@gmail.com with the subject line "Arbitration Opt-Out" within thirty (30) days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts of Cowlitz County, Washington.
13. Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class actions, class arbitrations, or representative actions against Open Alpha. If any court or arbitrator determines that this class action waiver is void or unenforceable for any reason, the arbitration agreement in Section 11 shall remain in full force and effect for individual claims. You may opt out of this class action waiver by following the same opt-out procedure described in Section 11 (email openalphahq@gmail.com with subject "Arbitration Opt-Out" within 30 days of first accepting these Terms).
14. Cryptocurrency & On-Chain Data
Open Alpha provides whale transfer and stablecoin flow data for informational purposes only. Cryptocurrency markets are highly volatile, operate 24/7, and carry unique risks including but not limited to: smart contract failures, regulatory uncertainty, liquidity risk, exchange insolvency, and the possibility of total loss of principal. On-chain signals reflect historical wallet movements and blockchain activity; they do not predict future prices or guarantee any outcome. Open Alpha does not custody, transfer, broker, or manage cryptocurrency or digital assets on your behalf. Wallet labels and institutional attributions are best-effort identifications based on publicly available information and are not guaranteed to be accurate. You acknowledge that cryptocurrency investments are speculative and that you are solely responsible for any decisions made based on on-chain data provided through the Service.
15. API & MCP Server
Access to the Open Alpha API and MCP (Model Context Protocol) server is subject to these same Terms of Service. API rate limits may apply and are subject to change; abuse of API access (including excessive requests, scraping, or circumventing rate limits) may result in immediate API key revocation without notice or refund. Data accessed via the API or MCP server may not be redistributed, resold, or used for commercial purposes without express written permission from Open Alpha. API and MCP server availability is provided on an "as-is" basis; we do not guarantee uptime, response times, or uninterrupted access. We reserve the right to modify, suspend, or discontinue API or MCP server access at any time with or without notice.
16. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription and stop using the Service.
